Terms and Conditions
These Dealer Terms and Conditions ("Agreement") govern participation in the Juggernaut USA Dealer Program ("Program") and form a binding contract between Juggernaut USA ("Company," "we," "us," or "our") and the authorized dealer ("Dealer," "you," or "your").
By submitting a dealer application or placing an order under dealer pricing, you agree to the following:
1. Program Overview
The Program allows approved Dealers to purchase products from Juggernaut USA for resale to end customers through approved channels. Dealers may purchase inventory at wholesale pricing or place individual orders for direct shipment to customers (dropshipping).
2. Ordering and Payment
All orders must be placed through Juggernaut USA’s authorized dealer portal or another approved ordering method.
Payment is due at checkout via credit card. No credit terms or delayed payment options are offered unless explicitly approved in writing.
3. Resale and Representation
Dealer may resell Juggernaut USA products through its own retail locations and/or online store(s).
Dealer is not authorized to resell Juggernaut USA products on third-party marketplaces (including Amazon, eBay, Walmart, or similar platforms) without prior written consent.
Dealer must accurately represent all products, features, and warranties. Misrepresentation or false advertising is grounds for immediate termination.
4. Intellectual Property
Juggernaut USA retains all rights, title, and interest in its trademarks, logos, images, product descriptions, and marketing materials.
Dealer is granted a non-exclusive, revocable license to use such materials solely for the purpose of promoting and selling Juggernaut USA products.
Dealer may not modify, alter, or use Juggernaut USA branding in a misleading or disparaging manner.
5. Shipping and Dropshipping
Dealers may request dropship fulfillment directly to their customers. All such orders must include the customer’s accurate shipping details.
Juggernaut USA is not responsible for delays, lost shipments, or incorrect delivery information provided by Dealer.
Freight, shipping, and handling costs are the responsibility of Dealer unless otherwise stated.
6. Warranty and Returns
Juggernaut USA handles warranty claims directly with the end customer upon presentation of valid proof of purchase.
Warranty coverage applies only to defects in materials or workmanship under normal use.
Products damaged by misuse, improper installation, or modification are not covered.
All returns must be authorized by Juggernaut USA before being shipped back. Unauthorized returns will be refused.
7. Dealer Conduct and Compliance
Dealer agrees to comply with all applicable laws, including those related to consumer protection, data privacy, and fair trade.
Dealer shall not engage in conduct that damages Juggernaut USA’s reputation or brand integrity.
Dealer must not represent itself as an agent or subsidiary of Juggernaut USA.
8. Termination
Juggernaut USA may suspend or terminate Dealer participation at any time, with or without cause, by written notice.
Upon termination, Dealer must immediately cease use of all Juggernaut USA intellectual property and remove all product listings or references.
Outstanding orders and obligations shall remain enforceable until paid and completed.
9. Limitation of Liability
In no event shall Juggernaut USA be liable for indirect, incidental, or consequential damages arising from the sale or use of its products.
Juggernaut USA’s total liability shall not exceed the amount paid by Dealer for the specific order giving rise to the claim.
10. Governing Law and Disputes
This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Colorado.
11. Modifications
Juggernaut USA reserves the right to modify these Terms & Conditions at any time. Continued participation in the Program constitutes acceptance of the most recent version.
12. Minimum Advertised Price (MAP) Policy
Dealer agrees to adhere to Juggernaut USA’s Minimum Advertised Price (MAP) policy, which establishes the lowest allowable advertised price for each product.
The MAP applies to all public advertising, including websites, online marketplaces, printed materials, social media, and digital promotions.
Dealers may sell products at any price in private transactions, but publicly advertised prices must not be below the published MAP.
"Strike-through" pricing, coupon codes, or implied discounts that reduce the effective advertised price below MAP are prohibited.
Juggernaut USA reserves the right to update MAP pricing at any time and to communicate changes via email or dealer portal.
Violation of the MAP policy may result in immediate suspension or termination of dealer status, loss of access to wholesale pricing, or cancellation of pending orders at Juggernaut USA’s discretion.
